The primary responsibilities of Boards of Directors are to provide direction and oversight to management, helping ensure that the company is effectively managed and creates value. Building a Board composed of members with the right competencies and an effective team dynamic is critical to this process. Value creation also depends on setting the right agenda so that Board time is focused on the most important issues, providing members with clear and well-structured documentation that supports informed discussion, establishing appropriate committee structures, and creating a systematic approach to decision-making.
In this episode of Talks with Global Governance Leaders, moderated by Gizem Argüden Oskay, Board Member of the Argüden Governance Academy, we explore different dimensions of corporate governance with Prof. David Beatty, Founding Managing Director of the Canadian Coalition for Good Governance, Professor of Strategy at the University of Toronto’s Rotman School of Management, and Member of the Advisory Board of the Argüden Governance Academy. Drawing on his experience serving on nearly 40 boards, including many years as Chair, as well as his academic work in corporate governance, Prof. Beatty shares key lessons from his professional journey.
Discussing his Board Compass model, Prof. Beatty explains the critical characteristics of effective, value-creating boards, the role of the Board Chair and the importance of the Chair’s relationship with the CEO, as well as the competencies and behaviors now expected of Board members. He also emphasizes that the technological transformation driven by artificial intelligence should become a strategic priority for Boards of Directors.
